terms of service

USER AGREEMENT
✦ This agreement is a contract between you ("the Commissioner") and Umika-chi ("the Artist").
✦ By making an order and completing payment, you agree to comply with all of the terms and conditions listed below.
✦ Please read carefully before making a request.

COMMERCIAL RIGHTS

By default, the commissioned artwork will be considered as having a Free Tier (no tier). The Commissioner will only retain personal usage rights over the artwork and is not allowed to use it for commercial purposes without the Artist's written consent.The Commissioner can acquire Commercial Rights by requesting any of the following price tiers:

  1. Tier 01: This tier is meant for use as promotional social media usage and/or branding (such as in Youtube and Twitch). The cost of this tier is 1.5 times the total price.

  2. Tier 02: In addition to the rights granted in Tier 01, the Commissioner may use and redistribute the artwork, as long as it's digital (game assets, store banners, cover art, etc). The cost of this tier is 2 times the total price.

  3. Tier 03: In addition to the rights granted in Tier 02, the Commissioner may redistribute and sell the artwork as merchandise such as acrylic figures, keychains, body pillows, etc. The cost of this tier is 3 times the total price.

ORDER TERMS

  • The Artist will only provide the sketch for approval once payment has been completed.

  • Once the Commissioner approves of the sketch, any further changes may incur additional charges.

  • The waiting time will vary based on the complexity of the commission and the Artist's personal schedule. It can vary from 3 days to months. The Artist will provide an estimated start time upon making a request.

  • The Artist has the responsibility to inform the Commissioner if any problems arise that may affect the progress of the order.

  • If the Commissioner requires faster completion or has tight deadlines, the Artist may charge an extra fee accordingly. The details of this request will be discussed and agreed upon by both parties.

  • The Commissioner may request small adjustments to the final artwork, which the Artist will try to accommodate within reasonable limits.

  • Vtuber Models include 02 free revisions. Any extra revisions may incur additional fees. If the Commissioner has requested for Custom Design, an extra free revision can be provided.

  • Major adjustments after the sketch has been approved will incur an additional cost, to be discussed and agreed upon by both parties.

DELIVERY AND REFUNDS

  • Upon completion, a High-res PNG (transparent & with simple background) file of the artwork will be provided, along a Low-res watermarked version for posting purposes. The Commissioner may not share the High-res files publicly, nor remove the watermark present on the artwork.

  • Layered files are not typically provided. The Commissioner must obtain Commercial Rights of Tier 01 or higher and specifically ask for it on the order form.

  • The Commissioner understands that the commissioned artwork is digital only, unless otherwise specified and agreed upon.

  • Refunds are generally not offered for commissioned artwork, except under very specific circumstances. The Artist will make reasonable efforts to address any concerns or issues raised by the Commissioner.

OWNERSHIP AND IMAGE RIGHTS

  • The Artist retains all rights, including intellectual property rights, to the commissioned artwork. The Artist may use the artwork for promotional or commercial purposes, including but not limited to prints, merchandise and online portfolios.

  • If the Commissioner wishes for their artwork to remain private or for the Artist to withhold from posting it for a specific period of time, a separate fee will be charged by the Artist.

  • The final artwork and progress W.I.Ps will be posted to Social Media, unless the Commissioner has requested for NDA.

  • The commissioned artwork may not be modified without the Artist's permission.

  • The Commissioner may not claim ownership or authorship of the commissioned artwork.

CONFIDENTIALITY

Under no circumstances may the Commissioner and Artist disclose each other's personal information to third parties.
